STONEGATE GROUP ANNOUNCES LAUNCH OF SENIOR SECURED NOTES OFFERING

LONDON — April 1, 2014.
Stonegate Pub Company Financing plc today announced that it intends to launch an offering of £380 million in aggregate principal amount of senior secured notes due 2019 (the “Notes”). The proceeds from the offering, if completed, will be used (i) to repay all outstanding indebtedness under the existing senior facilities, (ii) to repay all outstanding indebtedness under the existing shareholder loan, (iii) to make a distribution to shareholders, (iv) for general corporate purposes and (v) to pay certain fees and expenses in connection with the offering and related transactions.
